Terms and Disclaimer
These terms apply to every website, template, and service provided by PracticeReady Sites, owned by Lovelyn Ojimba, Columbia, Maryland ("we," "us"). By requesting a site, submitting our intake form, or using our templates, you ("you," "Client") agree to these terms. Each project is also covered by a signed client agreement. If the two differ, the signed agreement controls.
Important: your website is a design shell
- Design and content only. We provide website design files and written content. We do not host, maintain, secure, back up, or monitor your website.
- You are solely responsible for hosting, your domain, security, HIPAA and privacy compliance, Business Associate Agreements, accessibility, and the accuracy of all content.
- Provided "as is," without warranties of any kind.
- Limited liability. To the fullest extent permitted by law, we are not liable for losses arising from your website, and our total liability never exceeds the amount you paid us.
- Indemnification. You agree to defend, indemnify, and hold us harmless from claims arising from your website, its content, its hosting, or your practice.
1. Website shell
Each PracticeReady website is a design and content shell: the layout, styling, and written content, customized with the details you provide. It is not a hosted or managed website. To go live, you need your own domain, web hosting, practice email, and a HIPAA-compliant patient portal or electronic health record. The Launch Ready package includes one-time help setting up your domain and hosting; after that, those accounts and services remain yours to manage.
2. Your responsibilities
You are solely responsible for:
- Choosing, paying for, and managing hosting, with HTTPS (SSL) on every page.
- Securing your hosting, domain, email, and portal accounts with two-factor sign-in and strong, unique passwords.
- Compliance with HIPAA, state privacy laws, the No Surprises Act, advertising rules, licensing board rules, and any other law that applies to your practice.
- Obtaining a signed Business Associate Agreement from any vendor that handles patient information.
- Website accessibility.
- Reviewing and approving all content, including credentials, services, fees, insurance, and clinical information, before launch and keeping it accurate afterward.
- Reviewing any analytics or tracking tools with a compliance advisor before adding them.
- Posting and maintaining your own privacy policy and Notice of Privacy Practices.
3. Patient information
Never send us patient information (protected health information) by form, email, or any other means. We do not need it and do not accept it. Website contact forms are for general questions only. Intake, records, scheduling, and clinical messages must go through your HIPAA-compliant patient portal. We are not your Business Associate.
4. Ownership and license
After payment in full, you own your customized website files and your own content. We keep ownership of the underlying template designs and code and grant you a permanent license to use them for one practice. You may not resell, share, or reuse a template for another practice or business. We may show your finished site in our portfolio unless you opt out in writing.
5. Payment and refunds
Packages require a 50% deposit, which is non-refundable once work begins. The balance is due when you approve your final preview, before files are delivered. Full payment and refund terms are in your signed client agreement.
6. Disclaimer of warranties
Websites, templates, content, and services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, security, or non-infringement. We do not guarantee that your website will be error-free, secure, compliant with any law, or that it will produce any particular number of patients or results.
7. Limitation of liability
To the fullest extent permitted by law, PracticeReady Sites and its owner will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any losses arising from hosting outages, third-party services, data breaches, security incidents, regulatory fines or penalties, lost revenue, or content you approved. Our total liability for any claim related to our websites or services will not exceed the amount you paid us for the project giving rise to the claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless PracticeReady Sites and its owner from any claims, damages, fines, or costs, including reasonable attorney fees, arising from your website, its content, its hosting or security, your practice, or your breach of these terms.
9. No professional advice
Nothing we provide, including guides, checklists, and website content, is legal, compliance, tax, or medical advice. Consult your own qualified advisors.
10. Demo sites
Template demos show fictional practices. Names, people, addresses, phone numbers, prices, and insurance lists on demo sites are examples only.
11. General terms
These terms are governed by the laws of the State of Maryland. If any part is found unenforceable, the rest remains in effect. We may update these terms; the version posted on the date you sign your client agreement applies to your project.
